1 General
Bank of Cyprus Public Company Limited (hereinafter the “Bank”) wishes to sell and transfer by virtue of notarial deeds the properties located in Greece and included in its webpage https://www.remuproperties.com/ (hereinafter the “Sale Properties”).
The Bank determines the terms and conditions that govern the submission of offer by the interested buyers, as well as the sale and transfer of the Sale Properties.
Upon a request to the persons mentioned in clause 11, each interested buyer may ask for an on-site visit to the Sale Properties they are interested in.
Moreover, following the execution of the confidentiality agreement, the Bank may provide each interested buyer with additional information for the said Sale Properties.
2 Object
Interested buyers are invited to submit an offer for the purchase and acquisition of any of the Sale Properties, by filling, signing and submitting the Offer Submission Form, in accordance with the terms mentioned herein.
In case of natural persons, the Offer Submission Form shall be signed by the natural person himself and in case of legal entities by its legal representative.
In case an interested buyer is interested in submitting an offer for more Sale Properties, such interested buyer must clearly indicate in the relevant sections of the Form in part A (Offer Submission Information) (a) each one of the Sale Properties he is interested in, (b) the consideration he offers for all the Sale Properties he is interested in, and (c) the consideration he offers for each one of the Sale Properties separately.
3 Offers content
All offers are binding and irreversible.
Any terms, prerequisites and conditions in the submitted offers shall be evaluated negatively.
4 Offers submission
The offers together with the accompanying documentation must be submitted to the Bank (i) to the email address overseas@remuproperties.com and (ii) in written form within a sealed and non-transparent envelope, at the registered address of the Bank’s branch in Greece, 192 Leoforos Alexandras, 11521 Athens.
The Bank reserves the right, at its sole discretion, to request at all times the submission of an improved offer.
5 Buyer selection
The Bank shall select a buyer for each Sale Property separately.
The Bank may at its sole discretion select a buyer whenever it deems necessary and/or reject any offer it has received.
In the selection of the buyer, the Bank may take into account any factor it deems appropriate and any such selection of the Bank shall rest entirely upon its sole discretion.
The selection of each buyer is subject to his compliance with the Bank’s anti-money laundering policy and to this end must provide the Bank with all documents and information deemed necessary according to the Bank for the performance of this control.
The Bank reserves the right to request documents proving that the interested buyer (and its affiliate person if available) has available the agreed consideration (proof of funds).
6 Deposit
The selected buyer shall sign within three (3) business days from the date of his selection by the Bank a private agreement regulating the parties’ relationship and pay a deposit (αρραβώνας) of EUR ten thousand (10,000) (or a smaller amount that the Bank at its sole discretion may request) against the offered consideration, pursuant to the terms of the said agreement.
7 Notarial deeds
The terms of the notarial deeds for the sale and transfer of the Sale Properties shall be in line with the relevant terms set out in the present and otherwise in line with the customary practice for similar transactions.
The Sale Properties shall be sold and transferred at their urban plan (πολεοδομική), and real status (πραγματική κατάσταση), i.e. without any responsibility, liability, warranty, representation or undertaking whatsoever from the Bank as to the urban plan and real status of the Sale Properties and without any obligation whatsoever of the Bank for any relative compensation.
The buyers shall bear all the costs in relation to the sale and transfer of the Sale Properties, including indicatively the transfer tax, the notarial and registration costs and these of the cadastre. The Bank shall only bear the costs for providing the relevant certificates needed for the transfers and the costs of its own advisors along with any other cost that the buyer shall bear according to the law.
8 Consideration
The entire consideration shall be paid in Euro, by immediately available funds in a bank account the Bank shall indicate or by a bank cheque of an Eligible Credit Institution (at the Bank’s sole discretion) and simultaneously with the execution of the notarial deed for the sale and transfer of the Sale Property.
No partial or full credit for the payment of the consideration or any other alternative way of payment in general is suggested; however it shall be evaluated by the Bank in an ad hoc basis.
9 Purchase by an affiliate person
Subject to the Bank’s prior written approval, the buyers may designate a person for the purchase of the Sale Properties for which they have been selected.
The affiliate person must comply with the Bank’s anti-money laundering policy and provide to the Bank all necessary documents and information to verify such compliance.
The affiliate person shall mutatis mutandis bear all obligations that the buyer bears under the present.
The buyer shall at all times remain towards the Bank jointly and severally liable with the affiliate person it has designated for the full and prompt discharge of its obligations under the present, including for the avoidance of doubt the full and prompt payment of the agreed consideration.
10 Additional information
The Bank reserves the right to request from any interested buyer, selected buyer or affiliate person, any further information, clarification and document which at its sole discretion it deems necessary or appropriate.
11 Communication

12 Applicable law & jurisdiction
The present is governed and interpreted in accordance with Greek law.
For any dispute that may arise with respect to the present and the transactions contemplated therein, the Courts of Athens, Greece will be exclusively competent.
13 Final terms
No responsibility and liability whatsoever is accepted and no representation, warranty or undertaking, expressed or implied, is or will be made by the Bank, with regard to the accuracy, adequacy and completeness of the information, measurements, projections and opinions provided in relation to the Sale Properties or contained in the Offer Submission Form and in general in any documents and information provided to the interested buyers. The Bank undertakes no obligation to supplement, update or correct this Offer Submission Form and in general any documents and information provided to the interested buyers.
No responsibility and liability whatsoever is accepted and no representation, warranty or undertaking, expressed or implied, is or will be made by the Bank, with regard to the lease agreements of the Sale Properties, and any income produced by any of the Sale Properties in general.
The Offer Submission Form is not intended to form the basis of any investment decision or investment recommendation by the Bank and does not constitute an investment advice by the Bank. Each person to whom this Offer Submission Form or information in relation to the Sale Properties are made available must make its own independent assessment thereof, after making the investigation and taking the professional advice it deems necessary.
The Offer Submission Form is addressed only to the persons eligible to obtain knowledge thereof pursuant to applicable law and it does not constitute any offer and to the extent permitted by the law, the Bank does not accept any relevant obligation or liability.
The Bank shall in no way be obliged to compensate for any costs and expenses incurred in connection with any assessment or investigation, or for any other costs and expenses incurred by the interested buyers or any other person in connection with the Offer Submission Form and the sale and transfer of the Sale Properties in general.
The Bank reserves the right, at its sole discretion, to amend, repeat, postpone, suspend, cancel or terminate partially or wholly the process contemplated in the Offer Submission Form, or cancel its outcome, without having any liability whatsoever against any interested buyer, selected buyer, affiliate person or any other person.
The issuance and the delivery of the Offer Submission Form, as well as the selection of a buyer are not to be taken as any form of commitment on the part of the Bank to proceed with the transactions contemplated herein or any transactions whatsoever. The Bank reserves the right without any major reason and without compensation to withdraw at any time from the sale of one or more of the Sale Properties.
The Bank reserves the right, at its sole discretion, to exclude an interested buyer or to disqualify a selected buyer.
The Bank shall have no obligation to consider or accept any offer or other proposal, irrespective of whether it offers the highest price or not for one or more Sale Properties.
The Bank reserves the right to add in or remove properties from the Sale Properties whenever it deems advisable.
The Offer Submission Form is a translation into English from the original Greek document and is provided solely for the convenience of the interested buyers. In case of any inconsistency, contradiction or discrepancy between the Greek and the English text, the Greek text shall always prevail and generally binding shall be the Greek text.
